Jan 8 Arbitration in Life Sciences Transaction Disputes: A Special Seminar Held Paralleling the J.P. Morgan Healthcare Conference (Hosted by Patron Member Squire Patton Boggs)

We are pleased to be hosting this special seminar as part of the firm’s focus providing meaningful education events around the 2019 J.P. Morgan Healthcare Conference.

Arbitration is rapidly becoming the preferred dispute resolution mechanism for the life sciences sector as cross-border M&A transactions become the norm. Cross-border transactions often involve complex and lengthy processes to be finalized, especially in this sector, and such complexity paves the way for the potential of disputes at various stages in the transaction timeline.

Please join senior counsel Haig Oghigian, F.C.I. Arb., as he explores the critical aspects of the related arbitration process. In this 90-minute session, Haig will discuss how to navigate these disputes, from pre-signing to closing stages as transactions run their course. He will also address a number of important issues, including, among others, the applicable law stated in the agreement, guidance for execution of a letter of intent, interim relief, specific performance and implications based on the nature of the transaction involved.

SEAN RANDALPH
President & CEO, Bay Area Council Economic Institute

Sean Randolph is President & CEO of the Bay Area Council Economic Institute, a public-private partnership of business, labor, government and higher education that works to foster a competitive economy in California and the San Francisco Bay Area, including San Francisco, Oakland and Silicon Valley.

Dr. Randolph previously served as President & CEO of the Bay Area Economic Forum, which merged with the Bay Area Council in January 2008, and as director of international trade for the State of California, where he developed trade strategy and directed international business programs to stimulate exports and introduce California companies to overseas markets. Before service with the state, he was Managing Director of the RSR Pacific Group, an international business consulting firm specializing in Asia and Latin America, and before that served as International Director General of the Pacific Basin Economic Council, a 15-nation international organization of leading U.S., Asian and Latin American corporations.

His professional career includes extensive experience in the U.S. Government, including the U.S. Congress staff, and the White House staff. From 1981-85 he served in the U.S. State Department, as officer for Asia on the Policy Planning Staff, as Special Adviser for Policy in the Bureau of East Asian and Pacific Affairs, and as Deputy/Ambassador-at Large for Pacific Basin affairs. From 1985-88 he served as U.S. Deputy Assistant Secretary of Energy for International Affairs, managing nuclear non-proliferation, energy research, and global oil and gas issues.

Dr. Randolph holds a JD from the Georgetown University Law Center, a Ph.D. from the Fletcher School of Law and Diplomacy (Tufts and Harvard Universities), a B.S.F.S. from Georgetown's School of Foreign Service, and studied at the London School of Economics.

JONATHAN HALL
Chief Economist, Uber

Dr. Jonathan V. Hall is the Chief Economist at Uber. Prior to joining Uber Technologies in 2014, Dr. Hall held research positions at Google and Pandora Media. Dr. Hall received an A.B. in Economics from Harvard College in 2007, an A.M. in Economics from Harvard University in 2008, and a Ph.D. in Economics from Harvard University in 2010.
 
Dr. Hall leads the Economics team at Uber. He and his colleagues write and publish research on a wide range of topics, such as the labor market for drivers, the value of flexible work arrangements, the benefits of dynamic pricing, and the consumer surplus derived from ride sharing. The team provides economics expertise to the company's legal department and works cross-functionally with data scientists on understanding Uber's marketplace.


 






 
NADIA SOBOLEVA
Senior Consultant, NERA Economic Consulting

Dr. Soboleva’s expertise includes the economics of firm and industry performance, pricing, business investments, and innovation.  She specializes in the economics of antitrust and intellectual property. She has applied economic analysis to client cases involving joint ventures, allegations of price fixing, monopolization and collusion, exclusionary conduct, as well as trade secrets, patents, and copyright issues.  She also has extensive experience in advising companies on business strategy based on statistical modeling and econometric analysis of large data sets.  She has worked with domestic and international businesses on cases involving payment cards, automobile, airline, telecommunication, semiconductor, retail, pharmaceutical, consumer products, medical device, and information technology industries.
 
Dr. Soboleva received her MA in development economics from Williams College, and a PhD in economics, with a concentration in industrial organization and international trade, from Yale University.


 


RICHARD WATERS
West Coast Editor, The Financial Times

Richard Waters is the West Coast Editor for the Financial Times. His beat covers the technology industry. Before moving to the West Coast, Mr Waters was based in the FT's New York office for nine years. His roles there included Wall Street reporter, New York bureau chief, and the FT's first information industries editor, overseeing global coverage of technology, telecommunications and media. He previously worked at the FT in London where he held a number of positions, including editor of international capital markets, securities industry correspondent and accountancy and taxation correspondent.

Before working for the FT, Mr Waters worked as a reporter and editor for several financial magazines. He also worked for two years at Lloyd's Bank International and lived in Chile, also working as a teacher. In 2004, he was awarded Corporate Finance Reporter of the Year for his coverage of Google's IPO. He was shortlisted for the Business & Finance Reporter of the Year award at the British Press Awards in 2003 and won the award in 1992 as part of a team covering the BCCI scandal. In 1988, he was named Accountancy Journalist of the Year. He appears regularly on the BBC, CNBC, MSNBC, CNNfn and NPR.

Mr Waters received his Bachelor's degree from St. Edmund Hall, Oxford University.

Feb 14 - Feb 21 Mostly British Film Festival 2019


      

The Mostly British Film Festival was created by Ruthe Stein and Jack Bair eleven years ago to bring to Bay Area audiences the best in cinema from the UK, Ireland, Australia, India, New Zealand and South Africa. For many of our films this is the only opportunity to see them in a theater. We have shown local premieres of such films as “56 Up,” “Hunger,” “Red Riding Trilogy,” “Lunchbox” and “London River.” The directors represented at the festival include John Boorman, Ken Loach and Mike Leigh and the actors are Colin Firth, Ewan McGregor, Cate Blanchett, Jim Broadbent and Charlotte Rampling, to name just some. The festival is especially proud to have shown early films from Michael Fassbender, Domhnall Gleason and Felicity Jones before they became well known. Our guests of honor have been Bill Nighy, Sir Bob Geldof, Joanne Froggatt, Malcolm McDowell, Minnie Driver, Michael York and Joel Edgerton.

Following a couple of disappointing years for technology company IPOs, 2018 appears to have been a bounce back year! Early in the year we saw the highly anticipated IPOs of Spotify and Dropbox and these have been followed by DocuSign, Carbon Black, Zuora, and many, many others.
 

For technology companies, 2018 has been a year of positives with a solid pipeline of unicorns and growth-stage companies as well as soaring stock prices and strong economic data encouraging investors to make further investments. However, in mid-October the markets suffered big losses including the worst day for the NASDAQ since 2011. Is this a temporary blip or the start of a serious decline? To what extent has the trade war with China contributed to these loses? Having seen some box office companies IPO earlier in the year, do we have a big name (Uber, Airbnb, Lyft) ready to go out in the fall and drive some excitement before year end or has 2018 run out of steam?
 

At time of writing it is difficult to predict what might happen in 2019. In December we witnessed significant year-end turmoil in the markets with December turning out to be the worst year for the stock markets since 1929. January has seen moderate gains but interest rate hikes, trade tariffs and falling iPhone sales make it very difficult to say with any certainty how 2019 will develop and whether anything will really change for the Venture Capital and Technology Company community in Silicon Valley.
 
Join us for an evening of lively, engaging and fun discussions and hear more about how things might work out for the technology community in 2019 and get a chance to ask questions to our panel of Venture Capitalists. We will see how accurate their 2018 forecasts were and will try to pin them down to some 2019 predictions too!

BILL REICHERT
Managing Director, Garage Technology Ventures

Bill Reichert has over 30 years of experience as an entrepreneur and operating executive. Since joining Garage in 1998, Bill has focused on early-stage information technology and materials science companies. He has been a board director or board observer at CaseStack, WhiteHat Security, ClearFuels Technology, Simply Hired, MiaSole, D.light Design, ThermoCeramix, and VisaNow, among others.

Prior to Garage, Bill was a co-founder or senior executive in several venture-backed technology startups, including Trademark Software, The Learning Company, and Academic Systems. Earlier in his career, he worked at McKinsey & Company, Brown Brothers Harriman & Co., and the World Bank. Bill earned a B.A. at Harvard College and an M.B.A. from Stanford University. He was a founding board member and a Chairman of the Churchill Club, and a Board Member of the Silicon Valley Association of Startup Entrepreneurs. Currently he is the Chairman of the Small Fund Roundtable of the VC Taskforce and a member of the Council on Foreign Relations in New York.



STEVE GOLDBERG
Operating Partner, Venrock 

Steve joined Venrock in 2009 after having been CEO of several early stage companies including DataRunway, Vidient, Arcwave and CoWave Networks. Prior to that, he was Vice President of Research and Development at Nokia Internet Communications and Vice President and General Manager of the Wireless Communications Division at Cylink Corporation. Steve also held senior management and engineering positions at Trimble Navigation and Hewlett Packard. At Venrock, Steve focuses on investments in connectivity, M2M/Internet of Things, robotics and embedded systems. He currently sits on the Board of Directors of Asoka, FutureDial, Red Seal, and Quantenna Communications. Previous board seats include Canesta (Acq by Microsoft), Kineto Wireless (Acq by Taqua), Newport Media (Acq by Atmel), and Teranetics (Acq by PLX Technology). MITCHELL KERTZMAN
Managing Director, Hummer Winblad Venture Partners

Mitchell Kertzman is a Managing Director at Hummer Winblad Venture Partners. He has over 30 years of experience as a CEO of public and private software companies. Most recently, Mitchell was Chairman and CEO of Liberate Technologies, a provider of platform software for the delivery of digital services by cable television companies. Before joining Liberate, he was chairman of the board and CEO of Sybase, Inc. Mitchell was founder and CEO of Powersoft, which merged with Sybase in February 1995.

A former programmer, Mitchell founded Powersoft in 1974 as Computer Solutions. He renamed the company and became a member of the Hummer Winblad family in 1991 when Hummer Winblad invested in the company, which became the leading provider of client-server development tools with its flagship product, PowerBuilder. The merger with Sybase in 1995 was, at the time, the most valuable in the history of the software industry.

Mitchell served as President of the Massachusetts Software Council from 1994 to 1996 and was 1990 chairman of the American Electronics Association. He is founder and former chairman of the Massachusetts Institute for a New Commonwealth (MassINC), a think tank focused on issues related to the standard of living and quality of life of America's middle class. He served on the New York State Commission on Industrial Competitiveness and chaired its task force on industrial policy.

Mitchell was awarded an honorary doctorate of humane letters from the University of Massachusetts, Lowell. He currently sits on the Boards of ASpireIQ, Five9, Flite, HubPages, NuoDB, and Palamida.





RICHARD WATERS
West Coast Editor, The Financial Times


Richard Waters is the West Coast Editor for the Financial Times. His beat covers the technology industry. Before moving to the West Coast, Mr Waters was based in the FT's New York office for nine years. His roles there included Wall Street reporter, New York bureau chief, and the FT's first information industries editor, overseeing global coverage of technology, telecommunications and media. He previously worked at the FT in London where he held a number of positions, including editor of international capital markets, securities industry correspondent and accountancy and taxation correspondent.

Before working for the FT, Mr Waters worked as a reporter and editor for several financial magazines. He also worked for two years at Lloyd's Bank International and lived in Chile, also working as a teacher. In 2004, he was awarded Corporate Finance Reporter of the Year for his coverage of Google's IPO. He was shortlisted for the Business & Finance Reporter of the Year award at the British Press Awards in 2003 and won the award in 1992 as part of a team covering the BCCI scandal. In 1988, he was named Accountancy Journalist of the Year. He appears regularly on the BBC, CNBC, MSNBC, CNNfn and NPR.

Mr Waters received his Bachelor's degree from St. Edmund Hall, Oxford University.
